These terms are an agreement between Holinic LLC ("Holinic LLC", "we", "us" or "our") and you, and they govern your use of holiniq.com (the "Website"). Holinic LLC does business as Holiniq, Hairqare, merely and Baely. By using the Website you accept these terms. If you do not accept them, do not use the Website.
What the Website is
The Website presents Holiniq and its brands and lets buyers, distributors and press contact us. Nothing is sold on the Website. Purchases from merely, enrolment in Hairqare courses and use of the Baely app are each governed by that brand's own terms, which you will find on their sites and in the app stores. Where those terms and these terms differ, the brand's terms apply to that product.
Accuracy of information
We try to keep the information on the Website accurate and current, including launch dates, product descriptions and figures about the company. Some of it describes products that have not launched yet and may change before they do. We may update or remove content at any time without notice, and we are not obliged to keep information on the Website up to date.
Intellectual property
The Website and its content, including text, photographs, video, logos, brand names and design, belong to Holinic LLC or its licensors and are protected by copyright and trademark law. "Holiniq", "Hairqare", "merely" and "Baely" are trademarks of Holinic LLC. You may view the Website and print pages for personal, non-commercial reference. You may not copy, reproduce, republish, distribute or use any part of the Website for a commercial purpose without our written permission. Press may quote from the Website with attribution.
Acceptable use
You agree not to use the Website to:
- break any law or regulation;
- send spam, false enquiries or content that is abusive, defamatory or misleading;
- upload or transmit malware or anything that interferes with the Website or its hosting;
- scrape, crawl or copy the Website other than through ordinary search-engine indexing;
- impersonate any person or company, or misrepresent your relationship with one.
We may block access to the Website for anyone who breaks these rules.
Enquiries
When you send an enquiry through the Website, you confirm that the information you give is accurate and that you are entitled to give it. Sending an enquiry does not create a contract, a wholesale account or any obligation on our part. Our privacy policy explains how we handle the information you send.
Third-party sites and services
The Website links to merelyhaircare.com, hairqare.co, Google Play and the Apple App Store. We do not control those sites or services and are not responsible for their content, availability or terms. A link is not an endorsement.
Health information
The Website describes haircare products and education. It does not give medical advice. Hair and scalp conditions can have medical causes; if you have one, or think you might, see a qualified professional. Results described on the Website or on our brands' sites are not guaranteed for everyone.
Disclaimer of warranties
The Website is provided "as is" and "as available". To the fullest extent permitted by law, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Website will be error-free, uninterrupted or free of viruses.
Limitation of liability
To the fullest extent permitted by law, Holinic LLC, its members, officers, employees and agents are not liable to you for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from your use of or inability to use the Website. Our total liability to you for any claim arising out of the Website is limited to one hundred US dollars (US$100). Some jurisdictions do not allow these limits, so some of them may not apply to you.
Indemnification
You agree to indemnify Holinic LLC against claims, losses and expenses, including reasonable legal fees, that arise from your breach of these terms or your misuse of the Website.
Governing law and disputes
The formation, interpretation and performance of this agreement and any disputes arising out of it are governed by the substantive and procedural laws of Wyoming, United States, without regard to its rules on conflicts of law. The exclusive jurisdiction and venue for actions related to the subject matter of these terms are the state and federal courts located in Wyoming, United States, and you submit to the personal jurisdiction of those courts. You waive any right to a jury trial. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this agreement.
Severability and waiver
If any part of these terms is found to be invalid or unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later.
Changes to these terms
We may change these terms from time to time. The date at the top shows when they last changed. Continued use of the Website after a change means you accept the updated terms.
